KARAMTARA ENGINEERING Company Overview

Karamtara Engineering Limited, founded in 1996, is an integrated engineering and manufacturing company primarily serving the renewable-energy and power-transmission sectors. Its product portfolio includes solar mounting structures, solar tracker components, transmission towers, wind turbine towers, fasteners, and overhead transmission-line hardware and accessories. As of March 31, 2026, the company operated 13 manufacturing facilities—eight in Maharashtra, four in Gujarat and one in Italy. Its aggregate installed manufacturing capacity was approximately 889,200 MTPA, excluding galvanising capacity, along with capacity of approximately 480,000 pieces at its Italian facility. Karamtara has developed backward-integrated manufacturing capabilities, including in-house rolling mills and galvanising facilities. Its in-house galvanising capacity stood at approximately 276,800 MTPA as of March 31, 2026. This integration helps the company control manufacturing processes and reduces reliance on external vendors for certain critical operations. The company has a significant international presence and has supplied products to more than 50 countries across North America, Europe, Asia, Africa, Australia and Latin America. Export revenue stood at approximately ₹1,747.49 crore in FY2026

KARAMTARA ENGINEERING Business Model

Karamtara Engineering operates as a backward-integrated manufacturer of renewable-energy and power-transmission products. Its major business segments/products include solar mounting structures and tracker components, transmission towers, wind turbine towers, fasteners, and OHTL hardware fittings and accessories. The company supplies products to OEMs, EPC companies and independent power producers (IPPs) in India as well as international markets. The solar business is currently the company's dominant revenue contributor. Solar-industry products generated approximately 78.99% of FY2026 revenue from operations, compared with 81.40% in FY2025 and 81.75% in FY2024. Its international business is also material: exports represented approximately 40.52% of FY2026 revenue from operations, with the United States alone accounting for approximately 34.48%.

KARAMTARA ENGINEERING Objects of the Issue

Prepayment/repayment/payment obligations to lenders towards borrowings and acceptances, in part or full ₹600 Crore General Corporate Purposes Balance Net Proceeds The IPO has a total issue size of approximately ₹875 crore, consisting of a ₹675 crore Fresh Issue and ₹200 crore Offer for Sale (OFS).

KARAMTARA ENGINEERING Strengths

1. Strong position in renewable-energy manufacturing: Karamtara has built a substantial presence in solar mounting structures and tracker components. According to the Frost & Sullivan report cited in IPO materials, the company claims to be India's largest integrated manufacturer by installed capacity for solar mounting structures and tracker components in FY2026. 2. Backward-integrated operations: The company has in-house rolling mills and galvanising capabilities. Its approximately 276,800 MTPA in-house galvanising capacity reduces dependence on third parties for important manufacturing processes and can provide better control over production, quality and turnaround times. 3. Large manufacturing infrastructure: With 13 manufacturing facilities and aggregate installed capacity of approximately 889,200 MTPA, Karamtara has developed meaningful manufacturing scale across its renewable and transmission product portfolio. 4. Global presence: The company supplies products to more than 50 countries. Export revenue increased from approximately ₹1,395.83 crore in FY2024 to ₹1,747.49 crore in FY2026, providing geographical diversification beyond India. 5. Strong financial growth: Revenue increased from approximately ₹2,427.12 crore in FY2024 to ₹4,316.36 crore in FY2026, while PAT increased from ₹102.65 crore to ₹228.75 crore over the same period. 6. IPO-led debt reduction: Around ₹600 crore of fresh-issue proceeds is intended for repayment/prepayment/payment of borrowings and acceptances. Given FY2026 borrowings of approximately ₹1,030 crore, successful utilisation should materially reduce leverage and financing burden.

KARAMTARA ENGINEERING Risks

1. Heavy dependence on solar sector: Approximately 78.99% of FY2026 revenue from operations came from products sold to the solar industry. A slowdown in solar installations, changes in government policies, reduced renewable-energy investment or pricing pressure could materially affect Karamtara's revenue and profitability. 2. Geographic manufacturing concentration: Despite operating 13 facilities, approximately 90.84% of FY2026 revenue from operations was attributable to Maharashtra facilities. Any prolonged shutdown, natural disaster, labour disruption or regional regulatory issue could therefore materially affect operations. 3. Customer concentration: The company's top 10 customers contributed approximately 48.63% of FY2026 revenue from operations. Loss of major customers, lower order volumes or pricing pressure from these customers could materially affect financial performance. 4. Export and US exposure: Exports contributed approximately 40.52% of FY2026 revenue, while the US alone represented around 34.48%. Consequently, Karamtara is exposed to foreign-exchange movements, international trade restrictions and tariff changes. 5. Raw-material price risk: Steel and other metals are major inputs for Karamtara's products. Significant increases in raw-material prices could pressure margins if higher costs cannot be passed on to customers. 6. High pre-IPO borrowings: Total borrowings increased from approximately ₹556.28 crore in FY2025 to ₹1,030.13 crore in FY2026. The IPO proposes ₹600 crore toward debt/acceptance obligations, which should reduce this risk, but current leverage remains an important factor. 7. Valuation risk: As discussed in the IPO Signal section, the IPO is being offered at a relatively demanding valuation, meaning continued strong earnings growth will be important to justify the pricing.
