ASSET RECONSTRUCTOIN Company Overview
Asset Reconstruction Company (India) Limited, commonly known as ARCIL, was incorporated in February 2002 and received its Asset Reconstruction Company licence from the Reserve Bank of India on August 29, 2003. It is one of India's oldest asset reconstruction companies and operates in the distressed-assets and stressed-loan resolution industry.
ASSET RECONSTRUCTOIN Business Model
ARCIL's core business is the acquisition, management, reconstruction and resolution of stressed financial assets acquired primarily from banks and financial institutions. Its operations broadly cover Corporate Loans, SME/other loans and Retail Loans. After acquiring stressed assets, ARCIL may employ restructuring, settlement, enforcement of security interests, collections, asset sales and other permitted resolution strategies to maximise recovery. The company generates income primarily from management/trusteeship fees and investment-related income from stressed-asset portfolios, including upside/incentive income and fair-value changes. Consequently, its earnings are closely linked to its ability to acquire stressed assets at appropriate valuations and successfully recover or resolve them.

1. Established position in India's ARC industry: ARCIL has operated in India's asset-reconstruction sector for more than two decades and has experience across multiple stressed-asset resolution cycles. This operating history provides significant institutional knowledge in acquiring, managing and resolving distressed assets. 2. Strong AUM and recovery track record: ARCIL reported AUM of approximately ₹20,150 crore as of March 31, 2026. Since inception, Security Receipts worth approximately ₹44,114 crore had been issued, while cumulative recoveries reached approximately ₹31,915 crore. 3. Comfortable capitalisation: ARCIL's net worth increased to approximately ₹3,079 crore in FY2026 from ₹2,768 crore in FY2025. CRISIL also highlighted its comfortable capitalisation and conservative gearing philosophy, assigning its long-term bank facilities a CRISIL AA-/Stable rating in June 2026. 4. Increasing diversification into Retail and SME: ARCIL has strategically expanded beyond large corporate stressed assets into retail and SME portfolios. Retail and SME assets accounted for approximately 53% of FY2026 acquisitions, compared with 19% in FY2020. 5. Strong operating infrastructure: The company has a pan-India presence with more than 13 offices and an extensive external network of collection agents and legal professionals, supporting its recovery and resolution activities across different regions.

1. AUM-dependent revenue and profitability: ARCIL's revenue and profits depend significantly on the size, value and composition of its AUM. A decline in new stressed-asset acquisitions, faster redemption of existing Security Receipts without adequate replacement acquisitions, or weaker recoveries could adversely affect management fees and investment income. 2. Volatile earnings: Asset-reconstruction earnings can fluctuate because income depends on timing and success of recoveries, resolution of distressed assets, fair-value movements and investment income. CRISIL specifically identifies inherent earnings volatility as one of ARCIL's key weaknesses. 3. RBI regulatory and compliance risk: ARCIL operates in a heavily regulated industry. The RHP disclosures include RBI supervisory observations involving areas such as policies, due diligence, succession planning, KYC, outsourcing, business continuity and complaint-management processes. Failure to address regulatory observations could lead to penalties, restrictions or reputational damage. 4. Acquisition and recovery risk: ARCIL must continually identify and acquire stressed assets at commercially viable prices. Increasing competition or reduced supply of suitable stressed assets could affect future AUM growth. After acquisition, actual recovery may also differ materially from estimates. 5. Ageing stressed assets: Older portfolios can take considerable time to resolve. CRISIL reported that approximately ₹7,027 crore of ARCIL's outstanding AUM had completed eight years as of March 31, 2026, although recoveries from this portfolio were continuing. 6. IPO proceeds do not strengthen the company: Since the IPO is 100% OFS, the proceeds go to selling shareholders rather than ARCIL.
